1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of InsureFlow ("InsureFlow", "we", "us", or "our"), a customer relationship management platform for licensed insurance professionals. By creating an account, accessing, or using InsureFlow, you agree to be bound by these Terms. If you do not agree, do not use the service.
2. Description of Service
InsureFlow provides tools for insurance agents and agencies to manage leads, client intake, appointments, policy cancellation workflows, and related client communications. You are responsible for all activity that occurs under your account and for the accuracy and lawfulness of the data you enter or import.
3. SMS / Text Messaging Terms (A2P 10DLC)
InsureFlow sends transactional text messages (SMS/MMS) related to the services described below. By providing your mobile phone number or a client's mobile phone number through InsureFlow and affirmatively consenting (for example, by checking an opt-in box, submitting a web form, or verbally confirming consent that is recorded), you agree to the following:
- Types of messages. Messages include appointment reminders, appointment confirmation codes, secure client intake links, birthday greetings, and other service-related notifications you request through the platform.
- Consent. Consent to receive text messages is not a condition of purchasing any goods or services. Consent is obtained directly from the message recipient before any message is sent.
- Message frequency. Message frequency varies based on your appointments, intake requests, and notification settings. Typically no more than 5 messages per client interaction.
- Message and data rates. Message and data rates may apply. Contact your wireless carrier for details about your plan.
- Opt-out. You can cancel the SMS service at any time. Just text STOP to the number that messaged you. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
- Help. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly through the support contact listed on our website.
- Carrier liability. Carriers are not liable for delayed or undelivered messages.
- Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. See our Privacy Policy for details.
4. Agent Responsibilities and Acceptable Use
You are solely responsible for the leads, contact data, and client information you import or enter into InsureFlow. You represent and warrant that:
- You have obtained all required consents, including prior express written consent where required by the Telephone Consumer Protection Act (TCPA) and applicable state law, before messaging or calling any contact.
- You will only import and contact leads obtained lawfully. Illegally obtained leads, purchased lists without consent, or scraped data are strictly prohibited.
- You will comply with all applicable laws, including the TCPA, CAN-SPAM Act, state mini-TCPA statutes, Do-Not-Call registry rules, and insurance marketing regulations.
- Any "dirty business" — fraud, misrepresentation, unauthorized practice of insurance, or misuse of client data — is conducted entirely at your own risk and liability, and not that of InsureFlow.
Violation of this section may result in immediate suspension or termination of your account.
5. Client Data, HIPAA, and GLBA
You are responsible for handling all client data in compliance with applicable privacy and data-protection laws, including the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA), the Telephone Consumer Protection Act (TCPA), and any applicable state insurance privacy regulations.
- InsureFlow does not provide a HIPAA Business Associate Agreement (BAA) by default. If you will use the platform to create, receive, maintain, or transmit protected health information (PHI) on behalf of a covered entity or business associate, you must obtain a signed BAA from us before doing so.
- You must not enter, import, or store PHI in InsureFlow unless you have a valid BAA in place and have configured the platform for HIPAA-compliant use.
- Sensitive client information submitted through secure intake links (including beneficiary information, banking details, and Social Security numbers) is displayed to the requesting agent for a limited time and then permanently deleted from view. You agree to safeguard this information in accordance with GLBA and other applicable financial-privacy laws.
- You are solely responsible for obtaining any required consents and authorizations from clients before collecting or transmitting their sensitive information.
6. Intellectual Property
InsureFlow, including its software, design, workflows, logos, and content, is the exclusive property of InsureFlow and its licensors. You may not copy, reproduce, reverse engineer, resell, or create derivative works of any part of the service without our prior written consent.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES WILL BE DELIVERED BY ANY CARRIER.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSUREFLOW AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY CLAIMS ARISING FROM LEADS OR DATA YOU IMPORTED, MESSAGES YOU SENT, OR YOUR VIOLATION OF ANY LAW OR THIRD-PARTY RIGHT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless InsureFlow and its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) leads or data you import; (c) messages or calls you initiate; (d) your violation of these Terms; or (e) your violation of any applicable law, regulation, or third-party right, including TCPA and insurance marketing laws.
10. Termination
We may suspend or terminate your access at any time for violation of these Terms or for conduct we determine, in our sole discretion, is harmful to other users, carriers, or our business. You may cancel your account at any time. Sections that by their nature should survive termination survive, including Sections 6 through 9.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the state in which InsureFlow is organized, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service shall be resolved by binding individual arbitration, and you waive any right to a jury trial or to participate in a class action.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of the service after changes become effective constitutes acceptance of the revised Terms.
